Terms & Conditions
Effective Date: October 5, 2026
These Terms & Conditions (“Terms”) govern access to and use of the Phoenix Meds Inc. website, online account features, communications, and administrative coordination services made available by Phoenix Meds Inc. (“Phoenix Meds,” “we,” “us,” or “our”).
By accessing this website, creating an account, submitting information, or using Phoenix Meds services, you agree to these Terms. If you do not agree with these Terms, you should not use the website or Phoenix Meds services.
1. Professional and Business Use
Phoenix Meds primarily provides services to licensed U.S. healthcare organizations and qualified healthcare professionals.
Certain account features or services may require verification of professional or facility credentials. Phoenix Meds may request documentation reasonably necessary to verify eligibility before providing access to restricted professional features.
Submitting credentials does not guarantee approval or continued access.
Phoenix Meds may refuse, suspend, or revoke access where credentials cannot be verified, have expired, appear inaccurate, or where continued access may be inconsistent with applicable law, contractual obligations, or Phoenix Meds policies.
2. Role of Phoenix Meds
Phoenix Meds provides administrative, documentation, communication, and sourcing-coordination support for qualified healthcare organizations.
Phoenix Meds is not a pharmacy, medical practice, prescriber, manufacturer, drug compounder, wholesaler, or dispensing facility.
Phoenix Meds does not independently prescribe, manufacture, compound, dispense, administer, ship, or take custody of medications.
Where Phoenix Meds facilitates communication or administrative coordination between healthcare organizations and independent pharmacies, outsourcing facilities, distributors, wholesalers, or other third parties, each independent entity remains responsible for the activities it is legally authorized to perform.
Nothing on this website creates a pharmacy-patient, physician-patient, pharmacist-patient, or other healthcare-provider relationship between Phoenix Meds and any individual.
3. Independent Third Parties
Pharmacies, outsourcing facilities, wholesalers, distributors, laboratories, carriers, professional practices, and other organizations referenced through Phoenix Meds are independent third parties unless expressly stated otherwise in a written agreement.
Phoenix Meds does not control the professional judgment, clinical decisions, dispensing practices, manufacturing or compounding practices, fulfillment operations, shipping practices, pricing, inventory, regulatory obligations, or other independent activities of third parties.
Each third party is responsible for its own licensing, registrations, permits, professional conduct, regulatory obligations, products, services, representations, and performance.
The appearance of an organization on the Phoenix Meds website or within the Phoenix Meds network should not be interpreted as a guarantee that the organization or any particular activity, service, or product is appropriate or legally permitted in every jurisdiction or circumstance.
4. Credential and Regulatory Information
Phoenix Meds may review publicly available licensing, registration, inspection, regulatory, or other professional information as part of its administrative coordination process.
Regulatory and licensing information can change after it has been reviewed.
Phoenix Meds therefore does not warrant that information obtained from governmental databases, third-party sources, or participating organizations will remain complete, current, or error-free.
Healthcare organizations remain responsible for conducting any independent due diligence required for their activities and for determining whether a third party is appropriately authorized for the particular transaction, service, jurisdiction, and intended purpose involved.
Phoenix Meds does not provide a warranty or certification of regulatory compliance.
5. No Medical Advice
Information available through this website is provided for general professional and informational purposes.
Phoenix Meds does not diagnose medical conditions, establish treatment plans, prescribe treatments, recommend patient-specific therapies, or replace the independent clinical judgment of a licensed healthcare professional.
Information on the website should not be interpreted as medical advice or as a representation that any particular medication, compounded preparation, product, therapy, or treatment is appropriate for any patient.
Clinical decisions must be made independently by appropriately licensed healthcare professionals based on the circumstances of the individual patient and applicable law and professional standards.
This website is not an emergency medical service. Anyone experiencing a medical emergency should contact appropriate emergency services.
6. No Legal or Regulatory Advice
Information provided by Phoenix Meds concerning licensing, regulations, administrative requirements, pharmacy classifications, sourcing pathways, or similar subjects is provided for general informational and administrative purposes only.
It is not legal advice.
Laws, regulations, agency policies, professional-board requirements, and regulatory interpretations may change and may vary by jurisdiction.
Users are responsible for obtaining advice from qualified legal, regulatory, tax, or other professional advisers when necessary.
7. Compounded Drugs and Regulatory Information
Information regarding drug compounding, state-licensed pharmacies, outsourcing facilities, or related regulatory frameworks is provided for general professional education and administrative coordination.
Nothing on this website represents that every drug, substance, compounded preparation, transaction, or activity associated with a particular facility automatically satisfies federal or state requirements.
Responsibility for compounding, prescribing, dispensing, distribution, administration, and other regulated activities remains with the appropriately licensed or registered entity or professional performing that activity.
Phoenix Meds does not make independent determinations regarding the clinical appropriateness of a compounded drug for an individual patient.
8. User Responsibilities
By using professional features or services provided through Phoenix Meds, you represent that information you provide is accurate, current, and not misleading.
Where applicable to your activities, you are responsible for maintaining valid professional licenses, facility licenses, registrations, permits, authorizations, and other credentials required by law.
You are also responsible for complying with federal, state, and local laws and professional requirements applicable to your organization and activities.
You may not use Phoenix Meds services to misrepresent professional credentials, impersonate another person or organization, circumvent professional or legal requirements, or engage in fraudulent, unlawful, or unauthorized activity.
9. Accounts and Account Security
You are responsible for maintaining the confidentiality of your account credentials.
You may not share login credentials with unauthorized persons or permit another person to access restricted professional services using your identity or credentials.
You agree to notify Phoenix Meds promptly if you become aware of unauthorized access to your account or believe your credentials have been compromised.
Phoenix Meds may require additional verification before restoring or changing account access.
10. Information Submitted to Phoenix Meds
You represent that you have the right and authority to provide information submitted through the website or Phoenix Meds services.
You should not submit information that you are prohibited from sharing by law, contract, professional obligation, or another person’s rights.
Where protected health information or other regulated information is involved, the parties’ obligations may also be governed by applicable law and, where required, a separate written agreement such as a Business Associate Agreement.
These Terms are not intended to replace any Business Associate Agreement required by applicable law.
11. Privacy
Collection and use of personal information through this website are also governed by the Phoenix Meds Privacy Policy.
Where a separate written agreement governing protected health information applies, the terms of that agreement will control with respect to matters specifically covered by it.
Users should review the Privacy Policy together with these Terms.
12. Fees and Third-Party Charges
Any fees charged directly by Phoenix Meds for its administrative or coordination services, if applicable, will be disclosed through the applicable agreement, invoice, account interface, or other written communication.
Independent third parties may establish their own prices, fees, payment requirements, refund policies, shipping terms, and commercial conditions.
Unless expressly stated in a separate written agreement, Phoenix Meds is not responsible for charges imposed independently by third parties.
13. Shipping, Fulfillment, Returns, and Product Issues
Phoenix Meds does not independently manufacture, compound, dispense, package, or ship medications.
Where a regulated product or service is provided by an independent third party, responsibility for fulfillment, packaging, shipment, delivery, product condition, recalls, replacement, and any permitted return or refund rests with the entity responsible for that activity, subject to applicable law and the terms governing that transaction.
Phoenix Meds may assist with administrative communication between participating organizations but does not assume the legal responsibilities of the dispensing, supplying, shipping, or receiving entity merely by assisting with communication.
14. Website Information
Phoenix Meds attempts to keep information on this website useful and current, but information may contain errors, omissions, outdated information, or technical inaccuracies.
Content may be modified without notice.
Phoenix Meds does not guarantee that every page, regulatory reference, third-party listing, description, availability statement, or other item of information will always be complete or current.
Users should independently confirm information that is material to a professional, regulatory, clinical, or business decision.
15. Intellectual Property
Unless otherwise indicated, the Phoenix Meds website, Phoenix Meds name and branding, original text, graphics, design elements, logos, and other original website materials are owned by or licensed to Phoenix Meds and are protected by applicable intellectual-property laws.
You may view and use website content for legitimate internal professional and informational purposes.
You may not copy, republish, reproduce, modify, distribute, sell, license, scrape, or commercially exploit protected Phoenix Meds website content without prior written permission, except where applicable law expressly permits such use.
References to products, company names, trademarks, or other intellectual property belonging to third parties remain the property of their respective owners.
16. Prohibited Uses
You may not use the website or Phoenix Meds services:
- for unlawful, fraudulent, deceptive, or unauthorized purposes;
- to provide false or misleading professional credentials;
- to impersonate another individual or organization;
- to interfere with the security or operation of the website;
- to attempt unauthorized access to accounts, databases, systems, or information;
- to introduce malicious software or harmful code;
- to harvest information from the website through unauthorized automated means;
- to violate intellectual-property, privacy, confidentiality, or other legal rights;
- to circumvent professional, licensing, regulatory, or account-verification requirements; or
- to use professional-access features for unauthorized personal use or other purposes inconsistent with these Terms.
Phoenix Meds may restrict or terminate access where it reasonably believes these Terms have been violated.
17. Third-Party Websites and Services
The Phoenix Meds website may contain links to websites, databases, resources, or services operated by third parties.
Phoenix Meds does not control those third-party websites and is not responsible for their content, privacy practices, security, accuracy, availability, or terms.
A link or reference does not necessarily constitute endorsement of the third party or all of its products or services.
Users should review the applicable policies and terms of third-party services independently.
18. No Guarantee of Availability
Access to the website or specific account features may occasionally be unavailable because of maintenance, technical problems, security events, third-party service interruptions, updates, or circumstances outside Phoenix Meds’ reasonable control.
Phoenix Meds does not guarantee uninterrupted or error-free access to the website or online services.
19. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE, WEBSITE CONTENT, AND PHOENIX MEDS’ ADMINISTRATIVE AND COORDINATION SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
PHOENIX MEDS DISCLAIMS WARRANTIES THAT ARE NOT EXPRESSLY PROVIDED IN A SEPARATE WRITTEN AGREEMENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.
PHOENIX MEDS DOES NOT WARRANT OR GUARANTEE THE CLINICAL APPROPRIATENESS, QUALITY, SAFETY, LEGAL STATUS, AVAILABILITY, DELIVERY, PERFORMANCE, OR REGULATORY COMPLIANCE OF A PRODUCT OR SERVICE PROVIDED BY AN INDEPENDENT THIRD PARTY.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PHOENIX MEDS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO USE OF THE WEBSITE OR PHOENIX MEDS SERVICES.
PHOENIX MEDS IS NOT RESPONSIBLE FOR THE INDEPENDENT PROFESSIONAL OR REGULATED ACTS OR OMISSIONS OF THIRD-PARTY HEALTHCARE PROFESSIONALS, PHARMACIES, OUTSOURCING FACILITIES, DISTRIBUTORS, WHOLESALERS, CARRIERS, OR OTHER INDEPENDENT ENTITIES.
Nothing in these Terms limits liability where a limitation or exclusion would be prohibited by applicable law.
21. Indemnification
To the extent permitted by law, an organization using Phoenix Meds professional services agrees to indemnify and hold Phoenix Meds and its officers, directors, employees, and representatives harmless from third-party claims, liabilities, losses, or reasonable expenses arising from that organization’s unlawful use of the services, material violation of these Terms, misrepresentation of professional credentials, or violation of another person’s legal rights.
This provision does not require indemnification of Phoenix Meds for liability that applicable law does not permit to be indemnified.
22. Suspension or Termination
Phoenix Meds may suspend or terminate access to an account or professional feature where reasonably necessary to address suspected fraud, security concerns, inaccurate credentials, legal or regulatory concerns, violation of these Terms, or misuse of the website.
Termination does not eliminate obligations that by their nature should survive termination, including obligations concerning intellectual property, confidentiality, disclaimers, limitations of liability, and applicable payment obligations.
23. Force Majeure
Phoenix Meds will not be responsible for delay or failure to perform an obligation caused by events reasonably beyond its control, including natural disasters, severe weather, governmental actions, regulatory changes, telecommunications failures, cyber incidents, labor disruptions, transportation interruptions, public-health emergencies, or failure of independent service providers.
This section does not excuse obligations that applicable law does not permit to be excused.
24. Changes to These Terms
Phoenix Meds may update these Terms from time to time to reflect changes in the website, services, business operations, or applicable legal requirements.
When material changes are made, the effective date shown at the beginning of these Terms will be updated.
Where required by applicable law or contractual obligation, Phoenix Meds will provide additional notice or obtain additional consent.
Continued use of the website after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
25. Governing Law and Venue
These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-law principles, except where federal law or another mandatory law applies.
Subject to any different requirement contained in a separate written agreement, legal proceedings arising from these Terms will be brought in a court of competent jurisdiction serving Shelby County, Alabama, or the applicable federal court having jurisdiction.
Nothing in this section limits any legal right that cannot validly be waived or restricted by agreement.
26. Severability
If any provision of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
An unenforceable provision will be interpreted or limited to the minimum extent necessary to make it enforceable where permitted.
27. No Waiver
Failure by Phoenix Meds to enforce a provision of these Terms does not constitute a waiver of that provision or of the right to enforce it later.
28. Entire Agreement
These Terms, together with the Privacy Policy and any separate written agreement expressly applicable to particular Phoenix Meds services, constitute the agreement governing use of the website and those services.
If a separately executed written agreement directly conflicts with these Terms, the separately executed agreement will control with respect to the subject matter covered by that agreement.
